Directions Workforce Solutions (Directions) operates under a not-for-profit governance model – a volunteer Board of Management (“Responsible People”) meets regularly (quarterly) to set strategy, oversee finances and approve major decisions for the organisation. In a typical flow, Employees report to Managers, Managers report to the CEO, and the CEO is accountable to the Board – which in turn is accountable to the community and stakeholders. This structure and framework aligns with the governance requirements of the Australian Charities and Not-for-Profits Commission (ACNC).
Throughout Directions, there is a clear hierarchical chain-of-command. The Board appoints the Chief Executive Officer (CEO) and monitors performance, while the CEO runs day-to-day operations and reports back to the Board. The CEO, in turn, leads the Senior Management Team. Managers supervise programs and staff; apprentices, trainees and other employees report through these management layers. Committees or sub-committees (for example, finance/audit, people and culture) may advise the Board on specific issues, but do not make decisions for the charity itself or its behalf. All must proclaim potential conflicts of interest.
